Terms and Conditions
  1. Scope of Services: Pedactive Ltd (“the Company”) provides only scientific and technical consulting services (“the Services”). The Services are delivered by the Company strictly in a consultancy capacity as an independent entity and shall not constitute or be construed as employment, agency, or engagement under any prior employment agreement with the Client or any associated companies. The Services are advisory in nature and do not constitute legal, financial, business, regulatory approval, or any other services unless expressly agreed in writing.
  1. Independent Status: The Company acts as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
  1. Performance & Warranties: The Company will provide the Services with scientific and technical diligence and will use reasonable efforts, consistent with recognised industry standards, to support the Client’s objectives. The Services are strictly limited to scientific and technical consulting and do not extend to legal, financial, business, regulatory approval, or any other services unless expressly agreed in writing. No assurance or guarantee is given that the Services will achieve any specific outcome, commercial success, or market performance, and the Client remains responsible for all decisions made in reliance on the Services.
  1. Liability Limitation: The Company’s total aggregate liability, whether to the Client or any third party, arising out of or in connection with the Services, shall not exceed the higher of USD $50,000 or the amount recoverable under the Company’s professional indemnity insurance, to the extent not excused by law. The Company shall not be liable for any indirect, consequential, incidental, special, or exemplary losses, including but not limited to loss of profit, revenue, business, opportunity, or goodwill.
  1. Indemnity: The Client agrees to indemnify and hold harmless the Company and its directors against any claims, losses, or liabilities, whether brought by the Client or any third party, arising from the Client’s use or misrepresentation of the Services, to the extent not excused by law.
  1. Conflicts of Interest & Non-Exclusivity: The Company may provide services to multiple clients, including competitors or sector participants. No exclusivity or fiduciary duty arises unless expressly agreed in writing.
  1. Intellectual Property: All methodologies, tools, designs, and know-how used or developed by the Company remain its property. The Client is granted a non-exclusive, non-transferable licence to use deliverables for internal purposes only.
  1. Confidentiality: Both parties shall keep confidential all commercially sensitive information exchanged in the course of the Services. This obligation survives termination for five (5) years.
  1. Force Majeure: The Company shall not be liable for any delay or failure caused by events beyond its reasonable control, including acts of God, pandemic, war, supply chain disruption, or labour disputes.
  1. Governing Law & Jurisdiction: These Terms are governed by the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of the English courts.
  1. Entire Agreement & Severability: These Terms, together with any agreed scope or proposal, constitute the entire agreement between the parties and supersede prior understandings. The Client acknowledges that no prior agreement, employment, expired contract or expired arrangement has any continuing effect. No variation is valid unless agreed in writing. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
  1. No Contract by Conduct: 12.1 The provision of any Services by the Company prior to the execution of a written agreement shall not, by itself, give rise to a contract on any terms other than these Terms. Any previous or expired agreements between the parties, including any prior employment or engagement with group or associated companies of the Client, shall be of no effect and shall not govern the Services. 12.2 No course of dealing, prior conduct, or exchange of correspondence shall create or imply contractual obligations inconsistent with these Terms. 12.3 Any engagement of the Company shall be deemed acceptance of these Terms, whether or not expressly acknowledged in writing by the Client.
